Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Laguna Goods, LLC, a California limited liability company doing business as DayGist ("DayGist," "Company," "we," "us," or "our"), governing your access to and use of the DayGist service, the website located at getdaygist.com, and all related services, features, and content (collectively, the "Service").

By creating an account, accessing, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy (available at getdaygist.com/privacy), which is incorporated herein by reference. If you do not agree to these Terms in their entirety, you must not access or use the Service.

1. Eligibility

You must be at least eighteen (18) years of age and a legal resident of the United States to register for and use the Service. By creating an account, you represent and warrant that: (a) you meet the foregoing eligibility requirements; (b) the information you provide during registration is accurate, current, and complete; (c) you will maintain the accuracy of such information; and (d) your use of the Service does not violate any applicable law or regulation. You may create and maintain only one (1) account. Duplicate accounts may be terminated without notice.

2. Description of Service

2.1 DayGist is a financial information service that retrieves account balance data from your connected financial institutions and delivers a daily summary to you via SMS text message or email at your designated time. SMS delivery requires separate opt-in consent. Users who do not opt in to SMS will receive their daily summary via email.

2.2 DayGist is NOT a bank, depository institution, financial institution (except as may be defined under the GLBA for privacy purposes), financial advisor, investment advisor, broker-dealer, credit counselor, credit reporting agency, or money transmission service. The Service does not provide financial, investment, tax, or legal advice of any kind.

2.3 Balance and account information provided through the Service is obtained from third-party financial institutions via our connectivity provider, Plaid, Inc., and is delivered to you on an "as-is" basis. Such information may be delayed, may not reflect pending transactions or holds, and may not represent the most current account status at your financial institution. You acknowledge that you should not rely solely on information provided by DayGist for time-sensitive financial decisions, including but not limited to determining whether sufficient funds are available to cover a transaction.

2.4 The Service is read-only and informational. DayGist does not initiate, authorize, process, or facilitate any financial transactions, fund transfers, bill payments, or other monetary actions on your behalf or on behalf of any third party.

3. Account Registration and Security

3.1 You agree to provide truthful, accurate, current, and complete information during the registration process and to promptly update such information as necessary to maintain its accuracy and completeness.

3.2 You are solely responsible for maintaining the confidentiality of your account credentials, including your password, and for any and all activities that occur under your account, whether or not authorized by you.

3.3 You agree to notify us immediately at support@getdaygist.com upon becoming aware of any unauthorized use of your account, any security breach, or any other compromise of your account credentials.

3.4 We reserve the right to suspend or terminate your account at any time if we reasonably suspect fraudulent, abusive, unauthorized, or illegal activity, or if you breach any provision of these Terms.

4. Financial Data and Plaid

4.1 To use the Service, you must connect one or more financial institution accounts through Plaid, Inc. ("Plaid"). By connecting accounts through Plaid, you authorize Plaid to access your financial account information as necessary to provide the Service, including account balances, account names and types, and the name of the financial institution.

4.2 Your use of Plaid is subject to Plaid's End User Privacy Policy, available at https://plaid.com/legal/#end-user-privacy-policy. By using the Service and connecting financial accounts through Plaid, you acknowledge that you have reviewed and accept Plaid's End User Privacy Policy.

4.3 DayGist operates a pass-through data model: financial data retrieved from Plaid is used solely to generate your daily text message and is immediately discarded after delivery. Financial data is not written to or stored in our database or any persistent storage. Encrypted Plaid connection tokens are stored solely to maintain your ongoing bank connection.

4.4 DayGist does not guarantee the accuracy, timeliness, completeness, reliability, or availability of financial data provided by your financial institutions through Plaid. Financial institutions may experience outages, maintenance windows, data delays, or connectivity issues that are outside our control and may affect the data displayed in your daily summary.

4.5 You may disconnect your financial institution accounts at any time through your account dashboard at getdaygist.com or through the Plaid Portal at https://my.plaid.com.

5. SMS Communications and TCPA Consent

5.1 The Service is delivered primarily through SMS text messages sent to your registered mobile phone number. SMS consent is collected separately from account registration through a dedicated, optional consent checkbox presented during the sign-up process at getdaygist.com. By affirmatively checking the SMS consent checkbox, you provide your prior express written consent under the Telephone Consumer Protection Act (47 U.S.C. § 227) and applicable FCC regulations to receive recurring automated text messages from DayGist at the mobile phone number you provide, including daily account balance updates and occasional service or promotional messages (no more than one promotional message per calendar month). Your consent to receive SMS messages is not required to create an account, complete a purchase, or access any other aspect of the Service.

5.2 Message frequency is approximately one (1) message per day, plus occasional service-related messages including account connection alerts, billing and payment notices, and trial or subscription status updates. Message and data rates imposed by your wireless carrier may apply. DayGist is not responsible for any fees or charges imposed by your carrier.

5.3 You may revoke your consent and opt out of receiving text messages at any time by: replying STOP, QUIT, END, CANCEL, or UNSUBSCRIBE to any DayGist message; emailing support@getdaygist.com; adjusting your SMS preferences in your account settings; or communicating your revocation by any other reasonable means. We will honor opt-out requests immediately upon receipt. Following your opt-out, you will receive a single confirmation message and no further text messages.

5.4 Reply HELP to any DayGist message for support contact information.

5.5 SMS delivery is dependent on your mobile carrier, network availability, device compatibility, and other factors outside our control. We do not guarantee the delivery, timeliness, or receipt of any individual text message.

5.6 If you do not provide SMS consent during registration, your account and subscription will remain fully active and your daily balance summary will be delivered via email to the email address associated with your account. You may enable SMS delivery at any time in your account settings.

5.7 SMS Opt-Out and Subscription Impact. If you opt out of SMS messages by replying STOP, your text messages will stop immediately and your billing will be paused. Your bank connections and account data will be retained for seven (7) calendar days to allow you to easily resume service by replying START. If you do not resume service within seven (7) days, your subscription will be automatically canceled, your bank connections will be disconnected, and no further charges will be made. No refunds or credits are issued for partial billing periods, whether monthly or annual. You may resubscribe at any time by visiting getdaygist.com.

6. Subscription, Billing, and Cancellation

6.1 Free Trial. New users may be eligible for a fifteen (15) day free trial of the Service. A valid payment method is required to initiate the free trial. You will not be charged during the trial period, provided you cancel before the trial period expires.

6.2 Automatic Conversion and Renewal. At the conclusion of the trial period, your subscription will automatically convert to a paid subscription at the rate corresponding to the plan you selected during registration (monthly or annual), unless you cancel before the trial period ends. Paid subscriptions will automatically renew at the end of each applicable billing cycle (monthly or annually) at the then-current subscription rate.

6.3 Payment. All subscription payments are processed by Stripe, Inc. By subscribing to the Service, you authorize Laguna Goods, LLC (dba DayGist) to charge your payment method on file for the applicable subscription fees through Stripe. You are responsible for ensuring that your payment information remains current and valid.

6.4 Price Changes. We reserve the right to change subscription pricing. We will provide you with at least thirty (30) days' prior written notice of any price change, which will take effect at the start of the next billing cycle following the notice period.

6.5 Cancellation. You may cancel your subscription at any time through your account dashboard at getdaygist.com or by contacting support@getdaygist.com. Cancellation will take effect at the end of the current paid billing period. You will continue to receive daily messages through the end of the billing period for which you have already paid.

6.6 No Refunds or Proration. Subscriptions are non-refundable. Except as required by applicable law, no refunds, credits, or prorated adjustments will be issued for partial billing periods, plan changes, early cancellation, or unused portions of the Service. Upon cancellation, you retain access through the end of your current paid billing period.

6.7 Account Cleanup. Upon cancellation, trial expiration without conversion to a paid plan, or account deletion, we will: (a) cease all SMS communications; (b) disconnect your Plaid-connected financial accounts by calling Plaid's /item/remove endpoint; (c) delete your encrypted Plaid access tokens; and (d) update your account status accordingly.

7. Acceptable Use

You agree that you will not, and will not attempt to:

  • (a)Use the Service for any unlawful purpose or in violation of any applicable federal, state, or local law or regulation;
  • (b)Provide false, misleading, or fraudulent information during registration or at any point during your use of the Service;
  • (c)Access or attempt to access accounts, systems, or data belonging to other users or any third party, including any financial institution;
  • (d)Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying structure of any part of the Service;
  • (e)Use the Service on behalf of any third party without their explicit, informed consent;
  • (f)Interfere with, disrupt, degrade, or impair the operation, performance, or security of the Service or any related infrastructure;
  • (g)Use any automated means, including bots, scrapers, spiders, or crawlers, to access or interact with the Service;
  • (h)Circumvent, disable, or interfere with any security, authentication, or access control features of the Service or of any connected financial institution;
  • (i)Use information obtained through the Service for any purpose other than your own personal financial awareness; or
  • (j)Resell, redistribute, sublicense, or commercially exploit any aspect of the Service without our prior written consent.

8. Intellectual Property

All content, features, functionality, software, code, text, graphics, logos, trademarks, service marks, and the overall design, selection, and arrangement of the Service are owned by Laguna Goods, LLC or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. These Terms do not grant you any right, title, or interest in the Service or our intellectual property, except for the limited right to use the Service in accordance with these Terms. You may not copy, modify, adapt, translate, distribute, publicly display, create derivative works based on, or otherwise exploit any part of the Service without our prior written consent.

9. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, Laguna Goods, LLC (dba DayGist) expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Without limiting the foregoing, we do not warrant that: (A) the Service will be available, uninterrupted, timely, secure, or error-free; (B) the information provided through the Service, including account balances and financial data, will be accurate, complete, current, or reliable; (C) any particular financial institution will be supported, available, or accessible through the Service; (D) text messages will be delivered successfully to your device; or (E) any defects or errors in the Service will be corrected.

You acknowledge and agree that your use of the Service and any information obtained through the Service is at your own risk.

10. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Laguna Goods, LLC, its members, managers, officers, employees, agents, contractors, licensors, or affiliates (collectively, the "DayGist Parties") be liable to you or any third party for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to damages for loss of profits, revenue, goodwill, data, or other intangible losses, arising out of or in connection with: (A) your use of or inability to use the Service; (B) any inaccuracy, delay, or incompleteness of information provided through the Service; (C) any unauthorized access to or alteration of your data or account; (D) the conduct of any third party, including financial institutions and service providers; or (E) any other matter relating to the Service, regardless of the legal theory (whether contract, tort, strict liability, or otherwise) and regardless of whether the DayGist Parties have been advised of the possibility of such damages.

The total aggregate liability of the DayGist Parties arising out of or relating to these Terms or your use of the Service shall not exceed the greater of: (A) the total amount you have actually paid to DayGist for the Service in the twelve (12) months immediately preceding the event giving rise to the claim; or (B) one hundred dollars ($100.00 USD).

You specifically acknowledge that DayGist is an informational service and that any financial decisions you make are your sole responsibility. The DayGist Parties shall not be liable for any financial losses resulting from your reliance on information provided through the Service, including but not limited to overdraft fees, insufficient funds charges, missed payments, investment losses, or any other adverse financial consequence.

11. Indemnification

You agree to indemnify, defend, and hold harmless the DayGist Parties from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or in connection with: (a) your access to or use of the Service; (b) your breach of these Terms or any representation or warranty contained herein; (c) your violation of any applicable law, regulation, or third-party right; (d) any content or information you provide to the Service; or (e) any dispute between you and any third party, including any financial institution.

12. Dispute Resolution and Arbitration

12.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact us at legal@getdaygist.com and attempt to resolve the dispute informally for a period of at least thirty (30) days from the date of your initial contact.

12.2 Binding Arbitration

If the dispute cannot be resolved informally, any controversy, claim, or dispute arising out of or relating to these Terms, the Service, or the relationship between you and DayGist, including the determination of the scope or applicability of this agreement to arbitrate, shall be resolved exclusively by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect. Arbitration shall take place in Orange County, California, at another mutually agreed location, or remotely via videoconference as agreed by the parties. The arbitrator's decision shall be final and binding, and judgment upon the award may be entered in any court of competent jurisdiction.

12.3 Class Action and Jury Waiver

To the fullest extent permitted by applicable law, you and Laguna Goods, LLC (dba DayGist) each agree that any dispute resolution proceedings shall be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit, class-wide arbitration, or any other representative proceeding. You also waive any right to a jury trial.

12.4 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information.

13. Termination

13.1 Termination by You

You may terminate your account at any time by canceling your subscription and requesting account deletion through your dashboard at getdaygist.com or by contacting support@getdaygist.com.

13.2 Termination by Us

We reserve the right to suspend or terminate your account and your access to the Service at any time, with or without cause, and with or without prior notice, including but not limited to situations involving: violation of any provision of these Terms; suspected fraudulent, abusive, or illegal activity; extended account inactivity exceeding twelve (12) months; or failure to pay applicable subscription fees after reasonable notice.

13.3 Effect of Termination

Upon termination of your account for any reason: (a) your right to access and use the Service ceases immediately; (b) we will disconnect your Plaid-connected financial accounts and delete your encrypted access tokens; (c) we will cease all SMS communications to your phone number; and (d) we will retain or delete your remaining personal data in accordance with Section 7 of our Privacy Policy. The following sections of these Terms shall survive termination: Sections 8 (Intellectual Property), 9 (Disclaimer of Warranties), 10 (Limitation of Liability), 11 (Indemnification), 12 (Dispute Resolution and Arbitration), and 15 (General Provisions), as well as any other provisions that by their nature are intended to survive termination.

14. Modifications to Terms

We reserve the right to modify, amend, or update these Terms at any time in our sole discretion. If we make material changes to these Terms, we will provide you with written notice by email and/or by posting a prominent notice on our website at least thirty (30) days before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of and agreement to the revised Terms. If you do not agree to the revised Terms, you must discontinue your use of the Service before the effective date of the changes.

15. General Provisions

15.1 Governing Law

These Terms and any dispute arising out of or relating to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

15.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.

15.3 Waiver

The failure of DayGist to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Laguna Goods, LLC.

15.4 Entire Agreement

These Terms, together with the Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and Laguna Goods, LLC (dba DayGist) with respect to the Service and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between you and DayGist regarding the Service.

15.5 Assignment

You may not assign, transfer, or delegate these Terms or any of your rights or obligations hereunder without the prior written consent of DayGist. DayGist may freely assign, transfer, or delegate these Terms and its rights and obligations without restriction and without notice to you.

15.6 Force Majeure

DayGist shall not be liable for any failure or delay in the performance of its obligations under these Terms to the extent that such failure or delay results from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, epidemics, pandemics, acts of government or regulatory authorities, war, terrorism, civil unrest, labor disputes, internet or telecommunications outages, power failures, or failures of third-party service providers (including financial institutions, Plaid, Twilio, Stripe, and AWS).

15.7 Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights, except that Plaid, Inc. shall be an express third-party beneficiary of Section 4 and may enforce the terms thereof directly.

15.8 Notices

Any notices required or permitted under these Terms shall be sent to DayGist at the contact information provided in Section 17 and to you at the email address associated with your account.

16. Referral Program

16.1 Eligibility

The DayGist Referral Program ("Program") is available to current DayGist users in good standing, including users on a free trial. To receive a referral credit, the Referrer must have an active or trial subscription at the time the credit is issued.

16.2 How It Works

Eligible users receive a unique referral link. When a new user signs up for DayGist using that link, the new user ("Referred Friend") receives a 30-day free trial (instead of the standard 15-day trial). If and when the Referred Friend's first paid subscription charge successfully processes, the referring user ("Referrer") receives a $5.00 credit applied to their next bill, regardless of whether they are on a monthly or annual plan.

16.3 Credit Timing

Referral credits are issued only after the Referred Friend's first paid invoice is successfully collected. Credits are not issued at the time of the Referred Friend's signup, during the Referred Friend's trial period, or if the Referred Friend cancels before their first payment.

16.4 Credit Cap

Each Referrer may earn a maximum of 24 referral credits (equivalent to $120.00 in account credits). Credits beyond this cap will not be issued.

16.5 Credit Application

Credits are applied as a balance adjustment to the Referrer's account and will be automatically deducted from the Referrer's next invoice. Credits are non-transferable, have no cash value, and cannot be redeemed for cash.

16.6 Restrictions

The following are prohibited and may result in forfeiture of credits and/or termination of the account:

  • (a)Self-referral (referring a phone number or account you own or control)
  • (b)Referring a phone number previously associated with a DayGist account
  • (c)Creating fake or fraudulent accounts to generate referral credits
  • (d)Offering cash or other incentives not authorized by DayGist in exchange for referrals
  • (e)Any activity that violates these Terms of Service

16.7 Program Changes

Laguna Goods, LLC reserves the right to modify, suspend, or terminate the Referral Program at any time, with or without notice. Any credits earned before termination will be honored.

16.8 Tax Responsibility

Referral credits may be considered taxable income. Referrers are responsible for any applicable taxes. DayGist does not provide tax advice.

16.9 Creator and Partner Codes

DayGist partners with independent creators and publishers ("Partners") who may share promotional codes or links for the Service. Partners are independent contractors, not employees or agents of DayGist, and may receive compensation from DayGist for referred signups. A valid Partner code or link entitles a new subscriber to the specific offer presented at signup (for example, an extended free trial or a percentage discount applied to the first invoice). One promotional code applies per account; codes cannot be combined with other offers, applied retroactively, or redeemed for cash. Codes obtained from unauthorized coupon-aggregation sites may be deactivated at any time. DayGist may modify or discontinue any Partner offer prospectively; an offer already applied to your account will be honored. Statements made by a Partner are their own and do not constitute financial advice from DayGist or a guarantee of any savings or outcome.
